Agreement and relationship to other terms
This Instructor, Host, and Organization Agreement (the “Instructor Agreement”) is a binding agreement between BookMahj and the individual or organization accepting it (“Provider,” “you,” or “your”). It governs your application for and use of BookMahj tools to publish and fulfill mahjong classes, events, leagues, lessons, and related services.
This Instructor Agreement supplements the BookMahj Terms of Service and Privacy Policy. If there is a conflict about Provider activity, this Instructor Agreement controls. Offering-specific cancellation terms accepted by a customer control that cancellation. The version identifier for this Agreement is 2026-08-09.
Eligibility and authority
You must be at least 18, have authority to enter this Agreement, and complete BookMahj’s application and onboarding requirements. If you accept for an organization, you represent that the organization is validly operating and that you may bind it and administer its members, listings, customer data, payments, and connected account.
You must provide accurate identity, business, contact, tax, payout, qualification, location, and ownership information and keep it current. BookMahj and Stripe may require verification and may pause listings, payments, or payouts until required information is complete.
Independent business status
You operate an independent business and are not BookMahj’s employee, agent, partner, franchisee, or joint venturer. You control whether, when, where, how, and at what price to offer services, subject to this Agreement and Platform functionality. You are solely responsible for personnel, payroll, benefits, insurance, permits, licenses, equipment, venues, expenses, and taxes. You may not bind BookMahj or represent that BookMahj sponsors, certifies, or delivers your services.
Listings and availability
Listings must be accurate, complete, current, and not misleading. You must disclose material details including host, format, skill level, date and time, time zone, venue or service area, accessibility, capacity, included items, customer requirements, full price, taxes and fees you control, cancellation policy, and any material restriction or risk. Images must depict the Provider or offering fairly.
Keep inventory and availability current, including external calendar conflicts. Do not create duplicate, bait-and-switch, unavailable, unlawful, discriminatory, or fake listings. BookMahj may format, categorize, rank, or decline listings to operate the marketplace, but you remain responsible for their substance.
Fulfillment and customer care
You are the seller and provider of each offering. You must honor confirmed bookings; deliver services professionally, safely, and as described; maintain adequate staffing and materials; comply with venue and accessibility obligations; and respond promptly to inquiries, booking issues, accommodation requests, and safety concerns.
You must communicate material changes through the Platform as early as reasonably possible and provide a lawful remedy when you cannot deliver. You are responsible for your members, co-hosts, contractors, venues, and invitees. BookMahj support does not transfer your fulfillment or customer-service obligations to BookMahj.
Safety, qualifications, and legal compliance
You must comply with all laws applicable to your business and offerings, including consumer protection, pricing, tax, accessibility, nondiscrimination, marketing, privacy, communications, venue, health, safety, employment, and licensing requirements. Maintain any permits, credentials, background checks, waivers, and insurance reasonably appropriate for your activities and provide evidence when BookMahj reasonably requests it.
Do not permit an unsafe condition, unlawful gambling, wagering, illegal alcohol service, harassment, exploitation, or activity involving a minor without appropriate permission and adult supervision. Promptly report serious safety incidents, credible threats, fraud, and legal or regulatory inquiries relating to a Platform booking.
Pricing and BookMahj fees
You set the base price for your offerings. Customer checkout may add applicable taxes and disclosed Platform or service fees. BookMahj may deduct the platform fee, payment-related adjustments, taxes BookMahj must collect or withhold, refunds, chargebacks, and other amounts you owe from transaction proceeds or future payouts.
The Platform will present applicable BookMahj pricing or subscription terms before you incur those charges. Stripe fees and BookMahj fees are separate. You may not impose hidden charges, misstate prices, or move a customer off Platform to avoid fees on a relationship or transaction introduced or managed through BookMahj.
Stripe Connect and payouts
Payment processing and Provider payouts use Stripe and Stripe Connect. You must create or connect an eligible Stripe account, accept the Stripe Connected Account Agreement and applicable Stripe terms, and provide Stripe with requested identity, bank, ownership, and tax information. Stripe controls account verification, payment processing, payout timing, reserves, restrictions, and its fees.
You authorize BookMahj to create and manage transactions associated with Platform bookings, collect BookMahj fees, direct your net share to your connected account, issue or facilitate refunds, and receive transaction, balance, payout, refund, and dispute information from Stripe. A displayed or pending balance is not guaranteed funds. Payouts may be delayed or reversed for refunds, disputes, risk review, verification, legal process, or Stripe action.
Cancellations, changes, and refunds
Select an available cancellation policy and cutoff or provide clear, lawful custom terms. The policy shown and accepted when a customer books or authorizes a waitlist charge applies to that transaction. You may not retroactively make accepted terms less favorable to the customer.
You must honor refunds required by accepted terms or law. If you cancel, cannot fulfill, materially change an offering, oversell capacity, or provide materially nonconforming service, BookMahj may issue a full or partial refund and deduct it from your balance or future payouts. Repeated cancellations or refund failures may result in listing limits or suspension. BookMahj may correct duplicate, erroneous, or capacity-failed charges.
Disputes, chargebacks, and negative balances
You are responsible for transaction disputes, chargebacks, card-network assessments, refunds, and related negative balances arising from your offerings or conduct, except to the extent caused solely by BookMahj’s error. Promptly provide accurate evidence, including listing, cancellation, attendance, delivery, and communication records.
You authorize BookMahj and Stripe to respond to disputes and debit or offset resulting amounts. BookMahj may determine how to respond based on available evidence but does not guarantee a favorable outcome. Failure to reimburse a negative balance is a material breach and may result in collection activity, account restriction, or termination.
Taxes and records
You are responsible for identifying, registering for, collecting, reporting, and paying taxes, duties, and governmental charges applicable to your business, income, personnel, venues, and offerings, except taxes BookMahj is legally required to collect or remit. You authorize BookMahj and Stripe to report transactions and provide tax documents as required. Maintain complete business and transaction records and provide accurate tax information upon request.
Customer data and communications
BookMahj gives you access to customer and attendee information only to manage inquiries, bookings, fulfillment, safety, support, refunds, and lawful records. Use it only for those purposes and as described at collection. Protect it with reasonable safeguards, limit access to personnel who need it, keep it only as long as necessary, and delete or return it when no longer needed unless law requires retention.
You may not sell customer information, enrich unrelated profiles, disclose it to unauthorized parties, or use it for unrelated marketing without a lawful basis and any required consent. Honor opt-outs and privacy requests that apply to your processing and cooperate with BookMahj on requests, incidents, complaints, and regulatory inquiries. Notify BookMahj promptly of unauthorized access or disclosure.
Provider communications
Platform messaging may be used for accurate, relevant communications to customers with a booking, waitlist position, inquiry, or existing Provider relationship. Do not send deceptive, abusive, excessive, or unlawful messages. Clearly identify your business, honor unsubscribe and SMS opt-out requests, maintain required consent records, and distinguish operational messages from promotions. You are responsible for your message content and compliance even when BookMahj or its provider transmits it.
Provider content and license
You retain ownership of your names, marks, listing text, images, videos, biographies, messages, and other content. You grant BookMahj a worldwide, nonexclusive, royalty-free, sublicensable license to host, reproduce, adapt for formatting, display, distribute, and promote that content to operate and market the Platform and your offerings. The license continues for retained transaction, support, audit, and promotional materials already created, subject to applicable law.
You represent that your content is accurate and that you have all rights, releases, and permissions needed, including for people, locations, music, trademarks, and customer testimonials depicted. Do not manipulate reviews, suppress honest negative feedback, condition incentives on positive sentiment, or fail to disclose material incentives or relationships.
Prohibited conduct
- fraud, misleading claims, fake bookings or reviews, price manipulation, or payment abuse;
- harassment, discrimination, retaliation, exploitation, threats, or unsafe conduct;
- infringing, illegal, obscene, malicious, or privacy-invasive content;
- fee circumvention, unauthorized surcharges, hidden terms, or directing Platform customers off Platform to avoid obligations;
- sharing credentials, customer lists, claim links, payment links, or private Platform information without authorization;
- scraping, reverse engineering, interference, malicious code, or unauthorized automated access; and
- using BookMahj branding or customer relationships to imply endorsement, agency, certification, or exclusivity.
Monitoring, suspension, and termination
BookMahj may review applications, listings, content, transactions, communications, complaints, safety reports, and account activity to administer the Platform. We may request information or corrective action and may restrict listings, communications, bookings, payments, payouts, members, or account access when reasonably necessary for safety, legal compliance, risk, customer protection, investigation, or a suspected breach.
Either party may terminate this Agreement by notice. BookMahj may terminate immediately for material breach, fraud, safety risk, insolvency, unlawful conduct, repeated customer harm, Stripe ineligibility, or conduct likely to damage the Platform or community. Unless BookMahj directs otherwise, you must fulfill existing bookings or fund appropriate refunds. Termination does not affect accrued fees, payout adjustments, disputes, records, licenses, or obligations that by nature survive.
Platform disclaimers
TO THE FULLEST EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” BOOKMAHJ DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE DEMAND, SEARCH PLACEMENT, BOOKINGS, REVENUE, CUSTOMER CONDUCT, PAYMENT OR PAYOUT COMPLETION, THIRD-PARTY SERVICES, OR UNINTERRUPTED OPERATION. YOU ARE RESPONSIBLE FOR EVALUATING AND OPERATING YOUR BUSINESS.
Liability and indemnification
TO THE FULLEST EXTENT PERMITTED BY LAW, BOOKMAHJ AND ITS AFFILIATES, PERSONNEL, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES OR LOST PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY. BOOKMAHJ’S TOTAL LIABILITY ARISING FROM THIS AGREEMENT WILL NOT EXCEED THE BOOKMAHJ FEES PAID OR PAYABLE BY YOU DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED BY LAW.
You will defend, indemnify, and hold harmless BookMahj and its affiliates and personnel from third-party claims, losses, liabilities, penalties, refunds, chargebacks, taxes, damages, and reasonable legal fees arising from your business, offerings, venues, personnel, content, customer-data handling, breach of this Agreement, or violation of law, except to the extent caused by BookMahj’s gross negligence or willful misconduct.
Disputes and governing law
Before filing a claim, each party will send a written description to the other and attempt in good faith for 30 days to resolve it. Provider notices to BookMahj must be sent to support@bookmahj.com. This Agreement is governed by applicable United States federal law and the law of the U.S. state in which BookMahj has its principal place of business when the dispute arises, without regard to conflict-of-law rules.
Court proceedings must be brought in a court of competent jurisdiction serving that principal place of business, except for an eligible individual small-claims matter or non-waivable forum right. Either party may seek urgent injunctive relief for misuse of intellectual property, confidential information, customer data, or access credentials.
Changes and general terms
BookMahj may update this Agreement by publishing a new version and effective date. We will provide additional notice and seek renewed acceptance when required or when changes materially affect your obligations. An administrator may assign a specific version and URL for acceptance in the application flow; acceptance applies only to that displayed version and does not occur automatically.
This Agreement, the Terms of Service, Privacy Policy, accepted fee terms, and offering-specific commitments are the entire agreement on its subject. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remainder stays effective. A waiver must be in writing and is not continuing. You may not assign this Agreement without BookMahj’s consent. BookMahj may assign it in a reorganization, financing, or transfer of the Platform. Electronic acceptance and notices satisfy writing requirements.
